Legal learning, built for how markets actually work.

Legal learning, built for how markets actually work.

hukuk + turns core areas of Turkish law into structured, interactive courses — so professionals and students understand not just what the rules say, but why they exist and how they connect.

About the initiative

## Who is behind hukuk + hukuk + is an independent legal education initiative dedicated to making Turkish law more accessible and meaningful for the professionals, students, and practitioners who work inside it every day. ## The goal Turkish legal education has long excelled at doctrine — codes, articles, and commentary. What it has been slower to provide is *structure*: a clear picture of how concepts fit together, where they come from, and how enforcement actually works. hukuk + closes that gap by building courses that move from foundations to enforcement in a deliberate, connected sequence. ## Who it’s for Finance and capital markets professionals who need a working knowledge of the regulatory framework. Law students who want more than an outline before exams. Practitioners and in-house counsel onboarding to a new area. Anyone who has opened a Turkish legal text and wondered where to start.

What makes hukuk + different

Structured

Every course is built in a deliberate order — foundations first, enforcement last. You never encounter a concept before you have the context to understand it. By the end of a unit, the pieces connect.

Interactive

Readings, flashcards, quizzes, unit tests, and an AI tutor that can answer questions about course material at any time. Understanding is tested — not just delivered.

Grounded in authoritative sources

Courses follow established legal texts and primary sources — not summaries of summaries. Where a textbook or statutory provision is the right authority, that is what the course uses.

Capital Markets Law Foundations — Sermaye Piyasası Hukuku

Most people who work near financial markets know the rules exist. Fewer understand where they come from or how they fit together. This course builds a working map of Turkish capital markets regulation before the details appear. **Source:** Follows Memiş & Turan, *Sermaye Piyasası Hukuku* (7th ed., 2024).

Three units. One coherent map.

  1. Unit 1 — Foundations

What the capital market is and why it exists. The development of capital markets regulation in Türkiye — from early exchange rules to the modern SPK framework. The hierarchy of legal sources, from the Constitution down to SPK Board decisions. The four core principles that run through every rule: disclosure, supervision, authorization, and investor compensation.

  2. Unit 2 — Issuing and Selling Securities

The difference between a public offering and a private sale, and why it matters legally. The methods by which securities reach investors. Why the prospectus (izahname) sits at the center of investor protection — what it must contain, who is responsible for it, and what happens when it misleads.

  3. Unit 3 — Public Companies, Institutions & Enforcement

Governance obligations of publicly held companies and the protections shareholders hold. The institutions — SPK, Borsa İstanbul, MKK — and how they interact. How the SPK enforces the rules: administrative fines, trading suspensions, and criminal liability for insider trading and market manipulation. Newer participants: crypto-asset service providers and crowdfunding platforms.

What you’ll be able to do

Read a Turkish capital markets regulation and know what problem it solves

Every rule in the framework responds to a market failure or a governance gap. After this course you can identify which one — and who the rule binds.

Explain what a prospectus must do — and when it fails

The izahname is not a formality. You will know what disclosure obligations it carries, who bears liability for misleading content, and what investors can do when it falls short.

Recognize what makes a company publicly held

The threshold, the consequences, the governance obligations that attach — and how the SPK framework treats publicly held companies differently from private ones.

Map the institutions and trace enforcement

From SPK Board resolution to criminal prosecution: you will be able to follow a capital markets enforcement action from the triggering conduct through the applicable sanction.

Place newer participants in the legal framework

Crypto-asset service providers and crowdfunding platforms are in the SPK framework now. You will understand on what terms and why.
